Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Fidelect website, admin platform, customer portal, Fidelect mobile app, Fidelect Driver mobile app, and APIs (collectively, the "Services"). Fidelect is a product of Galvn Labs LLC ("Galvn", "we", "us"). By using the Services, you agree to these Terms.

1. Eligibility and Account

You must be at least 18 years old to create a business account. You are responsible for providing accurate information and for safeguarding your credentials. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Use of the Services

You agree to use the Services lawfully and not to:

• Access or attempt to access accounts or data without authorization.
• Disrupt or interfere with the Services or infrastructure.
• Transmit malware, spam, or abusive content.
• Reverse engineer or resell the Services without permission.

3. Customer Data and Content

You retain ownership of the data and content you submit. You grant Galvn a limited license to host, process, and display that content solely to provide the Services. You represent that you have all rights and permissions required to provide the data.

4. Data Processing

If you are a business using Fidelect to run a loyalty program, you control the customer data you upload or collect. Fidelect acts as a service provider and processes that data on your behalf.

5. Subscriptions, Fees, and Taxes

Certain features require a paid subscription. Fees are billed in advance unless otherwise agreed. You are responsible for applicable taxes and for timely payment. Fees are non-refundable except where required by law.

6. Third-Party Services

The Services may integrate with third-party tools (payments, messaging, analytics, POS, and e-commerce platforms). Your use of third-party services is governed by their terms and policies.

7. Intellectual Property

The Services and all related software, trademarks, and content are owned by Galvn or its licensors. We grant you a limited, revocable, non-transferable license to use the Services for your internal business purposes.

8. Feedback

If you provide feedback or suggestions, you grant Galvn a worldwide, royalty-free license to use them without restriction or compensation.

9. Suspension and Termination

We may suspend or terminate access to the Services if you violate these Terms, for security reasons, or to comply with legal obligations. You may terminate your account at any time.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Galvn is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim is limited to the amount you paid for the Services in the 12 months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Galvn harmless from claims arising out of your use of the Services, your content, or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Wyoming.
